Terms of Service

Welcome to Agent Social. These Terms of Service ("Terms") govern your access to and use of our AI film and TV series studio. By accessing or using our services, you agree to be bound by these Terms.

1. Service Description

Agent Social provides an AI-powered platform for creating, managing, and automating social media content. Our services include AI-assisted content generation, scheduling, and publishing to various social media platforms.

2. Professional and Business Use

By accessing or using Agent Social, you represent and warrant that you are using our services solely for professional, business, or other commercial purposes — including but not limited to marketing, content production, brand operations, and related professional workflows. You confirm that you are not using our services for personal, household, or consumer purposes. Certain underlying third-party AI providers integrated into our platform require that end users qualify as business or professional users, and your agreement to this clause is what allows us to grant you access to those providers without separate verification of business status.

3. Account Registration

To use our services, you must create an account by providing a valid email address or using Google OAuth. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account, including everything done by teammates, staff, contractors, or anyone else you let use it — their actions are treated as yours
• Notifying us immediately of any unauthorized access

4. Credits and Billing

The Service uses a pay-as-you-go credit wallet. You purchase credits via one-time top-ups and spend them when you use AI services for content generation, video, and publishing.

• Payments are processed through our payment partner Razorpay
• Minimum top-up amounts and available presets are shown at checkout and may change over time
• Credits are consumed as you use AI services and publish content
• All fees are in USD unless otherwise specified
• Legacy recurring subscriptions, if any remain on an account, may be cancelled; new subscriptions are not offered for sale

5. Cancellation and Refunds

This includes unused or leftover credits, credits spent on output you did not like or did not use, a change of mind, a closed or deleted account, and an account we suspend or block under these Terms. Credits have no cash value and cannot be exchanged for money or transferred to another account.

You may stop using the Service at any time. Credits remaining in your account stay available until used or your account is closed. If you have a legacy recurring subscription, you may cancel it at any time and will not be charged for subsequent billing cycles.

6. Your Content — You Make It, You Own the Risk

You retain ownership of all content you create using our platform. "User Content" means everything you put in or take out of Agent Social: text, images, video, audio, captions, files, prompts, uploads, downloads, exports, copies, screenshots, and any share of those things.

You (and anyone you let use your account) are the author and the publisher of User Content. We provide tools. We do not adopt, endorse, or stand behind what you make.

You are solely responsible — and we are not responsible — if User Content is:

• Shown, sent, posted, sold, streamed, printed, or given to anyone by any means (our Publish button, download, copy-paste, email, chat apps, another website, a client, a drive, or a device)
• Used for any purpose, including a purpose that is illegal, harmful, defamatory, infringing, deceptive, or against another site's rules
• Used by someone you shared it with. Their use is still on you, because you let the file leave

Once you share User Content, we cannot pull it back from the other person or the other site.

You must have the rights and consents for anything you upload (faces, voices, brands, music, logos). You must not use the tools to harm a real person or to pretend to be them without their permission.

We may review or refuse content, and we may remove it or close an account. We do not promise to watch every generation. Lack of a block is not approval.

Any loss, damage, injury, claim, fine, penalty, takedown, ban, or other harm that User Content causes — to you, to any person shown, named, voiced, or imitated in it, to anyone who sees or receives it, or to any business or platform — is your responsibility alone, not ours. This applies however the harm arises and however long after the content was made or shared.

You are also responsible for ensuring User Content complies with applicable laws and with the terms of any site where you publish.

7. Connected Social Accounts

When you connect your social media accounts to Agent Social:

• You authorize us to post content to those accounts when you click publish or schedule a post
• You can disconnect your accounts at any time from your account settings
• We store access tokens to enable posting functionality
• You remain responsible for all content posted to your social media accounts
• When you ask our AI assistant to post, schedule, or send anything, that instruction is yours, and so is the result
• If a social platform removes a post, limits reach, or suspends your account, that is between you and that platform
• If you connect YouTube, you agree to be bound by the YouTube Terms of Service, and Google's use of your data is covered by the Google Privacy Policy

8. Automated Content Creation (SocialFlows)

Our SocialFlows feature automates content creation using AI. All content generated by SocialFlows requires your explicit approval before publishing. You must manually click the publish button or schedule the post for it to be published to your social media accounts. You are fully responsible for reviewing all AI-generated content before any use or share — including download, copy, email, chat apps, or another site — not only before our Publish button.

9. Third-Party Services

Our platform integrates with third-party services including:

• AI providers for content generation
• Social media platform APIs for posting
• Payment processors for billing
• Cloud storage for media files

Your use of these third-party services is subject to their respective terms of service.

10. Prohibited Uses

You may not use our services to:

• Post illegal, harmful, or offensive content
• Engage in spam or unsolicited marketing
• Violate any social media platform's terms of service
• Infringe on intellectual property rights
• Create a realistic likeness, voice, or impersonation of a real person without their consent, or anything that puts words or acts in their mouth that they did not say or do
• Create any sexual or exploitative content involving a minor, of any kind. We will close the account and report it to the authorities
• Create non-consensual intimate imagery, harassment, threats, hate, or content that incites violence
• Run scams, fraud, phishing, fake endorsements, fake reviews, or misinformation meant to deceive, including about elections, health, or public emergencies
• Attempt to gain unauthorized access to our systems
• Engage in any activity that could harm our platform or other users

12. Our Role, Reports, and Lawful Requests

Agent Social is a tool. We act as an intermediary: we do not start the creation of User Content, choose who receives it, or select or change what it says. We are not the author or publisher of User Content.

If you believe something made with Agent Social infringes your rights or is unlawful, email [email protected] with a description and where it appears. We will review the report and may remove content, restrict features, or close the account involved.

We may preserve and share account information and User Content with law enforcement, courts, or regulators when the law requires it or when we believe it is needed to prevent harm.

13. Service Availability

Our services are provided "as is" without guarantees of uptime or error-free operation. We may perform maintenance, updates, or modifications at any time, which may temporarily affect service availability.

14. Termination

If you break these Terms or any of our policies, we may block, suspend, restrict, or permanently close your account at any time, with or without notice. We may also do so for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Any reason we deem necessary to protect our platform or other users

When we block or close an account, you may lose access to your content, connected accounts, and any remaining credits, and no refund is owed. Download anything you want to keep while your account is active.

Our services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied.

17. Indemnification

You agree to indemnify, defend, and hold harmless Refrit Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Your User Content, or how you or anyone you shared it with used it
• Your violation of these Terms
• Your violation of any third-party rights
• Any claim by a person who is shown, named, voiced, or imitated in your User Content
• Any action by a social platform, regulator, or authority arising from your User Content or your account
• Anything done by anyone you let use your account, or by our AI assistant on your instruction

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our platform. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising from them or from your use of Agent Social is subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
